Terms of Service — Human:AI (H2AI)

1) Agreement to Terms

By accessing or using H2AI, you agree to be bound by these Terms and our Privacy Policy. If you are using H2AI on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use H2AI.

2) Service Description

H2AI converts documents and images into structured data and public endpoints (optionally with QR codes and embeds), and provides AI assistants and automations that can act across channels and third-party services you connect. We provide tools to manage visibility, PII flags, and publishing. AI outputs can be wrong; you must review before publishing or acting on them.

3) Accounts & Eligibility

• You must provide accurate information and keep it updated.
• You are responsible for safeguarding your account and for activity under it.
• H2AI is not for children under 13 and not directed to minors.

4) Your Content & Licenses

You own your content. To operate the service, you grant H2AI a worldwide, non-exclusive, royalty-free license to host, process, transform, and display your content, including via public endpoints, embeds, MCP/API access, and QR codes, according to your visibility settings.

You are responsible for ensuring you have the rights to upload and publish the content and that it complies with applicable laws.

5) Acceptable Use

• No illegal content, harassment, hate, exploitation, or violations of others’ rights.
• No malware, scraping without permission, or abuse of rate limits.
• No uploading sensitive personal data without lawful basis and consent where required.
• No attempts to bypass security or access others’ data.

We may remove content, throttle access, or suspend accounts for violations.

6) Third-Party & Connected Services

H2AI lets you connect third-party accounts and services (for example Google, Meta/Instagram, Stripe, and Square). When you connect a service, you authorize H2AI to access and use data from that service as described in our Privacy Policy and only to provide the features you enable.

• Your use of each connected service remains subject to that provider’s own terms and policies.
• For data obtained through Google APIs, our use complies with the Google API Services User Data Policy, including the Limited Use requirements.
• You may disconnect any connected service at any time; doing so may disable related features.
• If you enable AI calling, messaging, or outreach features, you are responsible for complying with applicable consent, recording, and anti-spam laws.

7) Plans, Billing, and Refunds

• Paid plans are billed via Stripe and/or Square. Taxes may apply.
• Fees are generally non-refundable except where required by law or stated otherwise.
• We may change pricing or features; we’ll give notice where required.

8) Intellectual Property

The H2AI platform, logo, templates, and software are owned by SYSTEMshift AI Strategy Inc. or our licensors and protected by law. Except for your content, you may not copy or create derivative works without permission.

9) Disclaimers

H2AI is provided “as is.” We disclaim warranties of merchantability, fitness, and non-infringement to the fullest extent permitted by law. AI outputs may be inaccurate; you are responsible for verifying before publishing or acting on them.

10) Limitation of Liability

To the maximum extent permitted, we’re not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits/revenue/data. Our aggregate liability for all claims in any 12-month period is limited to the amounts you paid to H2AI in that period.

11) Indemnification

You agree to indemnify and hold harmless SYSTEMshift AI Strategy Inc. and its officers, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your content, your use of the service, your use of connected third-party services, or your violation of these Terms or applicable law.

12) Suspension & Termination

You may stop using H2AI anytime. We may suspend or terminate access for violations, security risks, non-payment, or to comply with law, with notice where appropriate. Upon termination, licenses granted to us end except those necessary to comply with law or complete transactions.

13) Changes to the Service or Terms

We may modify the service or these Terms. Material changes will be communicated via in-app notice or email. Continued use after changes means acceptance.

14) Governing Law & Disputes

These Terms are governed by the laws of Ontario and the applicable laws of Canada. Courts located in Ontario will have exclusive jurisdiction, except where applicable law provides otherwise.
